GENERAL BUYER CONTRACT TERMS & CONDITIONS:

This portal act as an aggregator for online purchase of Surgical Consumables, I.V. Fluids and other health related products or associated services offered by Domestic and International Manufacturing Companies, Authorized Stockiest and Channel Service Providers.

Terms wherever the context so requires "You", “Your” or "User" shall mean any natural or legal person who accesses, uses or subscribes to our portal, agrees to become a buyer on the portal or avails or offers to avail any of our services.

Use of the portal is offered to You, subject to acceptance of all the terms, conditions and notices contained in the Terms & conditions including applicable policies which are incorporated herein by reference, along with any amendments / modifications made time to time by Company at its sole discretion and posted on the portal, including by way of imposing an additional charge for access to or use of a service(s).

Our portal is operated, and the supplies or services are provided in compliance with the laws in India and Company shall not be liable to deliver any Products or provide any Services purchased by You in locations outside India. If you access our services from locations outside India, you do so at your own risk and you are solely liable for compliance with applicable local laws. The User agrees to use the service to authorise an individual and get the products from the third party on his/her behalf. Where you use any third-party website or the products or services of any third party, you may be subject to alternative or additional terms and conditions of use and privacy policies.

Use of the portal is majorly for B2B transactions and persons who are qualified/competent and can form this legally binding contracts under Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including without limitation, minors, un-discharged insolvents etc. are not eligible to use the portal. The company reserves the right to refuse access to use the services offered at the portal to new Users or to terminate access granted to existing Users at any time without according any reasons for doing so and You shall have no right to object to the same.

Listing and displaying a Product by us on the portal is our invitation to you to make an offer for purchase of such Product. Likewise, the placement of an order on the portal by you is your offer to buy the Product(s) from us.

Once you have placed an order with us for purchase of a Product, you will receive an e-mail and/or mobile confirming receipt of your order and containing the details of your order (the “Order Confirmation”). The Order Confirmation is merely an acknowledgement that we have received your order and does not signify our acceptance of your offer.

We only accept your offer and conclude the contract of sale for a Products ordered by you, when the Product is shipped or dispatched to you and an e-mail confirmation and/or confirmation to your registered mobile number is sent stating that the Product has been shipped or dispatched (the “Shipment Confirmation”). We reserve the right, at our sole discretion, to refuse or cancel any order for any reason whatsoever before sending Shipment Confirmation to you.

If your order is dispatched in more than one package, you may receive separate Shipment Confirmations for each package, and each Shipment Confirmation and corresponding dispatch will conclude a separate contract of sale between you and us for the Product(s) specified in that Shipment Confirmation.

Any communication from us shall be sent only to your registered mobile number and/or email address or such other contact number or email address that you may designate, for any particular transaction. You shall be solely responsible for updating your registered mobile number and/or email address on the portal in the event there is a change. Further, we may also send you notifications and reminders with respect to scheduled deliveries of the purchased Products. While we shall make every endeavor to share prompt reminders and notifications relating to the delivery of purchased Product(s) with you, we shall not be held liable for any failure to send such notifications or reminders to you.

Please note that we supply Products only in Minimum Order quantities which correspond to the product handling requirement as per the OEM Policy and prevalent statutory & industry guidelines.

All orders placed on the portal are subject to the availability of such Products, our acceptance of your offer as per the above and your continued adherence to these Terms.

PRODUCT PRICING OR THE CONTRACT PRICING:

All prices are listed in Indian Rupees. Price, as displayed on the respective login may for the specially assorted list of products or after mutual discussion and acceptance and is exclusive of all applicable taxes.

Products in your Wishlist/Contract Master or shopping cart of the portal will reflect the agreed price or the most recent price. Please note that this price may differ from the price shown for the Product when you previously viewed or bought. Placing a Product in your shopping cart does not reserve the price shown at that time. It is also possible that a Product’s price may vary between the time you place it in your shopping cart and the time you place the order. The contract price applicable at the time of billing shall be final.

PAYMENT TERMS & LIABILITIES:

Payment will be made as per agreed terms and further billing requires a no-due/credit hold clearances from the Credit Control Deck.
